BAM! Entertainment Completes $2,330,000 Offering of Common Shares and Warrants January 30, 2004 BAM! Entertainment® (NASDAQ: BFUN), today announced that it had agreed to sell 2,532,522 shares of its common stock and warrants to purchase another 1,519,513 shares of its common stock, resulting in gross proceeds (assuming no exercise of the warrants) of $2,330,000, in a private offering to institutional and accredited investors. The Company has also granted the investors an option to purchase an additional 2,467,478 shares and warrants to purchase an additional 1,480,487 shares on identical terms exercisable for a period of 45 business days from the effective date the registration statement covering the aforementioned. The agreement is subject to the satisfaction or waiver of usual conditions precedent. Under the agreement, the shares of common stock will be issued at $0.92 per share, which is equal to 80% of the 30-day moving average price per share through the date the agreement was signed. The warrants will have a five-year term and will be exercisable at $1.40 per share, which is equal to a premium of 110% of the closing bid price per share on the date the agreement was signed. BAM!
